국문 초록

본 연구는 한국대규모기업의 소유구조의 바람직한 변화를 통해 올바른 지배구조 정착에 도움을 주고자하는 목적에서 진행하였다. 이를 위해 시장경제 역사가 긴 영국, 미국, 독일 및 일본의 소유구조 구축과정을 살펴보고 그 결과로 나타난 현재의 소유구조를 비교분석하였다. 산업화초기 단계에있어서는 모든 국가는 소유와 경영이 일치 되었다. 그리고 대부분 독점자본이 형성 되었고 대규모의 경제력집중이 발생하였다. 이로써 시장경제의 자율성을 심각하게 위협하였고 이런 문제를 해결하고자 선진국은 “소유의 실질화”와 “소유와 경영의 분리”를 법과 제도를 통해 추구하였다. 즉 미국의 반독점법 및 클레이톤법, 글래스-스티걸법, 배당에 관한 다중과세제도이다. 독일과 일본에서도 출자에 관한 결정을 엄격히 하고 있다. 독일의 주식회사법과 일본의 독점금지법 등이다. 이러한 사례를 통해 한국에서도 소유하지 않으면 지배할 수 없는 원칙을 세워야 한다. 아울러 현재의 제도를 폐지하기 이전에 소유에 관한 직접규제와 순환출자 금지제도를 도입할 필요가 있다.

영문 초록

This study was achieved to help the fixing of good ownership structure and governance structure in Korean enterprise. For this, it examined the process of ownership structure construction of U.S.A, Germany, Japan and U.K that have long history of market economy. And it did comparative analysis how to controlled enterprise investment or inside contribution. In early step of industrialization, management was not separate with ownership at the most of big enterprise in all advanced country. There were appeared monopoly and concentration of economic power. In order to solve these problems, all country introduce curious systems for ownership realization and separation of ownership and management. Such as 「Sherman Act」,「Clayton Act」,「Glass-Steagall Act」,「Securities Act」「Multiple taxation for Dividend」 in USA, 「Umsatzsteuer」, 「AktG §182 Voraussetzungen」,「Shareholder Law」,「Mitbestimmung」 in Germany and Japan. It must set the fundamental principle that can not dominate a company if owner does not possess shares in Korea. It need to introduce direct regulation about possession of owner and circulation investment prohibition system before abolish the current system in Korea.
