국문 초록

본 논문은 최근 급격히 증가하고 있는 중국 부실채권에 대한 투자방안들을 검토하고 가능한 방안들에 대한 과세체계의 비교분석을 통하여 최적의 투자방안을 제시하였다. 이를 위하여 중국세법, 조세회피지역(tax haven)의 세법, 한·중 조세조약 및 국내세법을 종합적으로 분석하였는데 중국 내 고정사업장이 없는 경우 조세회피지역에 특별목적회사(SPC)를 설립하여 투자하는 것이 세후수익 면에서 직접투자나 사모투자펀드(PEF)를 조성한 후 중국의 합작법인에 투자하는 것보다 더 효율적이라는 결론을 얻었다. 이와 함께 SPC 설립을 통한 간접투자방식은 투자이익을 실현한 이후 본국으로 투자이익금의 송금없이 제3의 투자를 신속히 진행할 수 있으며 투자관련 규제로부터 자유롭다는 장점이 있으므로 투자자들이 자율적인 펀드 운영을 선호하는 경우에 더욱 유리할 것으로 판단하였다. 향후 중국의 부실채권에 대한 투자를 고려하고 있는 국내투자자들은 중국부실채권시장 자체의 특성에 대한 검토는 물론 자신의 투자목적에 부합되며 세후 순이익을 극대화할 수 있도록 한국 및 중국의 복잡한 과세체계를 감안하여 투자형태를 선택할 필요가 있다고 생각된다.

영문 초록

This paper investigates various forms of investment in China`s Non-Performing Loans(NPL), and suggests the most efficient form by taking into consideration of the tax structure in each form. For these purposes, the paper analyzes tax laws of China, Korea, and tax haven areas as well as the Korea-China tax treaty. We found that the most common form of investment is to establish joint venture firm with Chinese AMCs. We also found that the investment through SPC in tax haven area is more efficient than direct investment or the investment to joint venture firm through PEF, if there are no permanent establishment in China. Since the indirect investment through SPC is free of regulation relating to investment and has the advantage of proceeding ``a third`` investment without sending the profit to the mother country this form of investment is recommendable when the investors prefer autonomy in fund management. We think that domestic investors who are interested in investing in Chinese NPL need to consider these complex tax systems as well as NPL market itself so that they can choose the right form of investment and maximize their after tax profit.
