국문 초록

본 연구는 CISG에서 환경 기준 준수의무가 계약적합성 판단과 이행면책 요건에 어떠한 법적 의미를 갖는지 분석하고, 환경 규제 변화가 국제물품매매계약에 미치는 영향을 검토하는 것을 목적으로 한다. 최근 환경 규제가 강화되면서 계약적합성과 면책 요건에 대한 해석이 중요한 쟁점으로 부각되고 있으며, 특히 CISG 제35조와 제79조의 적용 가능성이 주목되고 있다. 본 연구는 문헌 연구를 바탕으로 국제 환경 규제와 CISG의 상호 관계를 분석하고, 환경 기준이 계약적합성과 계약이행 장애 판단에 미치는 영향을 고찰하였다. 연구 결과, 환경 기준 준수는 계약적합성 판단의 핵심 요소가 될 수 있으며, 규제 변화로 인한 계약이행 불가능이 CISG 제79조의 면책 사유로 인정될지는 예측 가능성과 극복 가능성에 따라 판단될 수 있음을 확인하였다. 이를 반영하여 계약 체결 시 환경 적합성 인증, 준수 감시 조항, 환경 규제를 반영한 불가항력 조항의 포함 여부를 검토할 필요가 있다. 나아가 환경 규제의 상당수가 점진적으로 도입되는 현실을 고려할 때, 계약 당사자는 환경 기준 준수를 위한 사전 대응책을 마련하고, 계약서에 환경 리스크를 최소화할 수 있는 조항을 포함하는 것이 바람직하다.

영문 초록

This study examines how the obligation to comply with environmental standards under the CISG influences the determination of contractual conformity and exemption from liability. In particular, it explores how changes in environmental regulations affect the interpretation of CISG Articles 35 and 79. As environmental standards increasingly shape international trade practices, the proper assessment of conformity and the scope of exemption due to regulatory changes have become essential legal issues. Through a literature-based analysis, this study evaluates the legal implications of international environmental regulations—such as IMO 2020, the EU CS3D, and WTO provisions—on the CISG framework. The findings suggest that environmental compliance is emerging as a core element of contractual conformity under Article 35. Furthermore, whether a regulatory change constitutes an impediment under Article 79 depends on its foreseeability and the availability of reasonable alternatives to overcome the impact. To manage these legal risks, parties are advised to explicitly incorporate environmental compliance clauses, such as certification and monitoring provisions, and to consider the inclusion of environmental regulation changes within force majeure clauses. As most environmental regulations are introduced progressively, proactive contractual planning is crucial to ensuring compliance and mitigating potential disputes in international sales contracts governed by the CISG.
