국문 초록

본 연구는 관계 관점에서 무역의 매매당사자 의무를 규명하기 위한 것으로 문헌 연구를 중심으로 수행되었다. 먼저 관계적 계약이론을 고전적 계약이론과 비교하여 살펴보았으며, 고전적 관점을 기반으로 한 인코텀즈 2010과 CISG에서 규정하고 있는 무역 매매당사자의 의무를 살펴보고 관련 선행연구를 실시하였다. 이를 바탕으로 관계 관점에서의 무역 매매당사자의무를 제시하였다. 연구결과는 다음과 같다. 관계 관점에서 무역은 매매당사자들의 거래에 대한 의무와 권리의 대립이 아닌 공동의 경제적 목적을 가지는 유기적 결합관계로 상호보완적인 거래당사자 사이에 존재하는 상호이익으로 인해 의무가 발생되는 것으로 나타났다. 이에 따라 관계 관점에서의 매매당사자의 의무는 기존의 계약 이행의 의무뿐 아니라 계약체결의 의무ㆍ계약과정 신의의무ㆍ계약체결 후 재교섭 의무가 포함되어야 함을 알 수 있었다.

영문 초록

Purpose : This study was designed to identify the obligations of seller and buyer in international commerce from the relational perspective. Research design, data, methodology : We compared the theory of relational contract with classical contract theory, examined the obligations of seller and buyer defined by Incoterms2010 and CISG based on the transactional perspective. This has identified the advantages and limitations of the obligations of trading partners in the transactional perspective. Results : The relational perspective defines the international sale of goods with an organic combination of common economic purposes, not the confrontation between the obligations and rights of the parties. This paper suggests that the obligations of seller and buyer in the international sale of goods consist of not only the obligation of execution from the transactional perspective but also the obligation of contracting, acting in good faith for the contract, and renegotiating after the contract is concluded. Conclusions : The results of this study expand the theoretical discussion, the scope of research, and the target on the obligations of trading partners. And it emphasizes that the buyer and seller can pursue economic benefits at the international sales contract through mutual cooperation rather than the confrontation.
