유통시장에서 동산 기초 투자계약증권 매매 시 법적쟁점 고찰 -미술품, 한우를 기초자산으로 한 투자계약증권 중심으로-

국문 초록

2023년 2월 6일, 금융위원회에서 발표한 토큰증권 가이드라인에 따르면, 다양한 소액투자 수요를 위한 새로운 증권상품 제공의 필요성을 인식하고, 투자계약증권 및 비금전신탁수익증권 형태와 같은 비정형적인 증권의 발행 및 유통을 활발하게 하기 위한 제도적 장치를 마련하겠다고 밝혔다. 이의 후속조치로 2023년 12월, 한국거래소는 투자계약증권 및 비금전신탁수익증권 등 비정형적 신종증권 시장을 개설하여 전자증권 기반 거래소 증권시스템을 활용한 유통시장 거래 서비스 제공할 수 있는 혁신금융서비스 사업자로 선정되었다. 또한 유통시장에서 전자증권 형태의 투자계약증권 매매거래가 발생 시, 전자등록계좌부 간 대체를 통해 증권에 표창된 권리를 이전받을 수 있게끔, 금융위원회는 전자증권법의 하위 규칙을 개정하였다. 2025년 5월말 현재 투자계약증권은 자본시장법 제4조 제1항의 단서 조항에 따라 유통시장에서 증권으로 포섭되지 아니한다. 따라서 민법 상의 공유지분권과 공동사업에 대한 수익배분청구권으로 구성된, 미술품 및 한우 조각투자를 기초로 한 투자계약증권은 유통시장에서 민법 상 지명채권의 양도절차를 따라 매매할 수 있다. 이에 동 단서 조항 삭제 등을 포함하여 투자계약증권 및 비금전신탁수익증권 등 비정형적 증권의 발행 및 유통 활성화를 위해 의원 입법형태로 자본시장법 및 전자증권법 개정안을 발의, 현재 정무위원회에 법안 심사 계류 중이다. 개정안 통과로 투자계약증권이 자본시장법을 통과하여 유통시장에서도 투자계약증권이 ‘증권’으로 인정될 경우, 투자계약증권 양수인은 다음과 같은 근거로 표창된 권리 일체를 법적으로 획득한 것으로 판단할 수 있다. 첫째 투자계약증권의 거래 시, 양도인은 양수인에게 공유지분권과 수익배분청구권이 결합된 권리 일체를 승계하며 제3자에게 대항력이 생긴다. 둘째 투자계약증권은 자본시장법에 규정한 정형증권 범위에 없는 비정형적 증권이나, 이를 발행할 때 자본시장법 상 공모의 절차를 따르도록 하고 있으므로 법령에 명확한 근거가 있어야 가능하다는 유가증권 법정주의의 제약을 받지 아니한다.

영문 초록

On February 6, 2023, the Financial Services Commission (FSC) of Korea issued the Securities Token Guidelines, recognizing the growing need for new types of securities products to meet small-scale investment demand. The FSC announced its plan to introduce institutional mechanisms facilitating the issuance and circulation of non-standard securities, including investment contract securities and beneficial securities of non-monetary trusts. As a follow-up, in December 2023, the Korea Exchange launched a new market segment for such securities and was designated as an innovative financial services provider capable of offering trading services via the electronic securities infrastructure. To support legal rights transfers in secondary market transactions of token securities, the FSC also revised subordinate rules under the Electronic Securities Act to allow substitution between electronic registered accounts. As of May 2025, however, investment contract securities are not regarded as “securities” in the secondary market under the proviso of Article 4(1) of the Financial Investment Services and Capital Markets Act (FSCMA). Therefore, investment contract securities based on fractional ownership of artworks or livestock (e.g., Korean native cattle), composed of co-ownership and profit-sharing claims, are currently traded as nominative claims under the Civil Act. To promote the issuance and circulation of such non-standard securities, legislative amendments to the FSCMA and the Electronic Securities Acthave been proposed in the form of member bills and are pending review by the National Assembly’s Political Affairs Committee. If passed, and if investment contract securities are recognized as “securities” under the FSCMA in secondary markets, acquirers will be deemed to have legally obtained the embedded rights based on two principles: (1) the assignor is deemed to transfer the bundle of co-ownership and profit-sharing rights to the assignee with enforceability against third parties; and (2) although these are non-standard securities outside the FSCMA’s typology, their issuance through public offering is governed by statute, exempting them from the numerus clausus principle.
