법인의 본질과 법인격부인의 법리

국문 초록

근대이후 자본주의경제가 성장하면서 법인제도는 회사를 중심으로 광범위한 분야에서 활용되었고 최근에는 새로운 법인형태가 다양하게 나타나고 있다. 이러한 변화는 새로운 경제구조와 삶의 형태를 마련하는 과정이라고 볼 수 있지만, 법인제도의 변화로인하여 새로이 드러나는 법적 문제들을 전통적인 법인이론에 근거하여 설명하거나 해결하기가 어려워지고 있다는 점을 보여주기도 한다. 법인은 본질적으로 존재적 의미의 권리주체라기보다는 목적적 의미에서 권리주체이다. 법인격의 창출은 법제에 따르는 기술적 결과이며 법인의 존재는 관념적이다. 이러한 관점은 법인의 다양한 유형과 기능성을 자유롭게 허용하거나 제한할 수도 있는 법리적 기반이기도 하다. 법인의 권리주체성이라는 관념적 기능만을 이용하거나 매우 약화된 실질적 기능을 유지하는 등 다양한 변형을 가능하게 한다. 한편, 법인의 목적성과 기능성을 활용하기 위하여 법인형태를 다양화하는 것은 자본활동의 다양성에 크게 기여할 수 있는 것이기도 하지만 법인의 존재형식을 악용하여개인과 법인의 책임을 회피하는 고도의 탈법적 수단이 되어 사회적 문제를 심각하게야기하기도 한다. 그러나 법인격남용의 책임에 관련하여 법인격부인론은 법인의 본질과 새롭게 변화하는 법인형태에 비추어 볼 때 법리의 근거와 활용의 합리성에서 한계를 보이고 있다. 법인격의 일반성과 형식성, 계속적 기능성이 법인제도의 기초라는 점에서 볼 때 법인격부인론은 개별적 사안에 따라 특정한 행위와 당사자에 한정하여 예외적이고 보충적인 적용을 할 수밖에 없는 소극성과 법리적 추상성을 가지게 된다. 그러므로 법인격을 남용한 경우에도 그 법인격을 그대로 유지하면서, 그 법인의 주체성을 위법하게 자신과 일체화한 배후자를 법인과 함께 동일한 책임주체로 일체화하여 책임을 부담하도록 하는 것이 정당하다. 이것은 다양화하고 있는 법인제도의 변화과정에서도 법인격의 일반성과 지속성을 존중함으로써 법인제도의 원칙을 확보할 수 있고 제3자적 관계에서도 배후자와 법인의 책임을 일반화하는 법리적 근거가 될 수 있다. 나아가 법인의 목적적 기능성을 중시하여 사전에 법인의 개별적이고 구체적인 기능에대한 관리와 감독을 강화하는 것도 가능하다고 본다.

영문 초록

As the capitalist economy grew exponentially after modern times, the corporate system was used in a wide range of fields centered around the company. Recently, a new form of corporate form is being made. This transformation is a process of creating a new economic structure and a form of life. However, the new legal problems arising from changes in corporate governance also show that the traditional corporate approach is increasingly difficult. The existence of a corporation is essentially an object, not a presence. Thus, the creation of legal representation by legislation is a technique of technology, and the existence of a corporation is conceptual. The corporate system is based on two functional functions : abstract functions and practical functions. This view is also a legal basis for allowing various functions of the corporation. This allows isolation of abstract functions or enabling distortion that impairs practical functions. Distributing the form of a corporation can greatly contribute to the diversity of capital activities. However, it has become a serious legal tool to evade the responsibility of individuals and corporations, causing serious social problems. According to the current legal system, it can be incorporated enough to conform to the form prescribed by the Act. Thus, the possibility of avoiding individual responsibility with corporate accountability is widespread. Denying a corporation is also a reflection of the limitations of the corporate system. However, this theory only allows for a very limited range of restrictions. Given the nature of the corporation, we should normally recognize the corporation even if it abused its functions. However, those who misuse the functions of the corporation shall be incorporated into the corporation. This can ensure the consistency of the corporate system. It is widely believed that the responsibility for the misuse of corporate functions is widespread. Further, we expect to manage and oversee the specific functions of the corporation.
