국문 초록

본 논문은 지방중소기업 상장 창구로 최근 각광을 받고 있는 기업인수목적회사(SPAC)제도의 주요 법체계와 동 제도를 발전시키기 위하여 필요하다고 판단되는 개선사항을 내용으로 한다. SPAC은 설립 이후 주식공모를 통하여 상장을 한 후 우량 비상장기업과 합병한 이후 주가상승을 투자자에게 실현시켜주는 사업구조를 갖고 있다. 현행 SPAC제도의 발전을 위하여 SPAC 합병시의 SPAC주식 평가기준과 주식매수 청구시의 매수청구가격기준, SPAC의 합병 가능 대상기업 범위, SPAC의 투자가능 범위 확장 필요 여부, SPAC의 피합병기업에 대한 협상력 강화 방안, SPAC에 대한 투자유인 강화 방안 등을 검토하였다.

영문 초록

In this paper we summarize the legal system about Korean SPAC(Special Purpose Acquisition Company) system, channel of SME’s listing, and check if there is any field to be needed to be amend, and look into how we could improve the scheme of Korean SPAC. SPAC can be established through public stock offerings and listing, and has the business model to make SPAC investor to realize the SPAC stock return after merger. We suggest some amendment about the pricing criteria of SPAC stock for merger and that of appraisal right by SPAC stockholder, range of merger company, investment field of SPAC, reinforcement tools for strengthen bargaining power of SPAC through merger, inducing tools for investing to SPAC.
