국문 초록

본 논문은 미국 통일상법전상 계약위반시 계약이탈제도를 설명하고 있다. 이 제도는 손해경감의무와 대체거래에 관한 것으로서, 손해경감의무는 UCC(미국 통일상법전) 제2-714조 (3), 제2-715조 (2)(a), 대체거래는 UCC 제2-714 (1)에 규정되어 있다. 한국민법은 계약위반대신 채무불이행을 채용하고 있는 반면, UCC는 채무불이행을 포함하는 계약위반제도를 채용하고 있다. 본 연구는 크게 셋으로 나누어, 즉, “계약해소”, “대체물조달”과 “3R제도”로 나누어 살펴보고자 한다. 특히,“3R제도”로는 매도인의 추완권과 매수인의 수령철회권과 거절권이 있다. 매수인의 물품의 인도 또는 제공후에 합리적 기간내에 거절하여야 한다(UCC 제2-602조). 이러한 매도인의 추완권, 매수인의 수령철회권과 거절권을 “3R제도”라고 불리운다. UCC의 규정과 관련하여 “본질적 이행기”에 대한 이론을 확인할 수 있다. 아울러 추완권과 계약해제가 관련한 판례를 통하여 자세히 검토되었다.

영문 초록

This paper tries to express the secession system from contracts at a breach of contracts and use concerned cases and articles at UCC. As this system provides UCC the mitigation and the cover, "the mitigation" can be found UCC § 2-714 (3) and § 2-715 (2)(a) and "the cover" UCC § 2-712 (1). At UCC is used breach of contract which involves non-performance of obligation, even if in the Korea Civil Act is used non-performance of obligation instead of breach of contract. In this paper divided to three parts - rescission ab initio, resale & cover and three R system. Especially, in part of "three R system" can the cure of seller, the rejection and the revocation of acceptance of buyer be suggested. Rejection of goods of buyer must be within a reasonable time after their delivery or tender(UCC § 2-602). Above the cure of seller, the rejection and the revocation of the buyer is called as "3R system". We can find that the theory of "time of the essence" is connected with the article of UCC. The relationship between the cure and the rescission is deeply illustrated under the consider of concerning cases.
