증권시장 상장정책에 관한 고찰

국문 초록

증권시장 상장정책은 기업 활동에 큰 영향을 미치는 공공적 성격이 강하다. 본 연구는 우리나라 증권시장별 상장정책의 차등화 필요성을 분석하고, 증권시장의 구조적 개편 방향을 제시하는 것을 목표로 한다. 상장제도는 기업의 자금조달과 투자자보호 및 시장건정성을 동시에 고려해야 하는 고도의 정책적 판단이 필요한 것으로서, 진입과 퇴출 기준의 설정 방식에 따라 기업의 성장성과 시장의 안정성이 크게 달라질 수 있다. 본 연구에서는 코스피, 코스닥, 코넥스, 장외시장(K-OTC)별 각각의 기능과 역할 및 상호 연계성을 보다 명확히 하기 위한 정책 방향을 제안하였다. 특히, 혁신적 시장(쉬운 진입․쉬운 퇴출), 흐린물 시장(쉬운 진입․어려운 퇴출), 보수적 시장(어려운 진입․쉬운 퇴출), 고인물 시장(어려운 진입․어려운 퇴출)의 네 가지 유형으로 시장을 구분하여 분석하고, 주요국 증권시장의 사례를 비교․검토하였다. 이를 바탕으로, 국내 시장별 특성에 맞춘 차별화된 상장 및 퇴출 기준을 마련하는 것이 필요하며, 기업의 성장 단계에 따라 원활한 시장 이전과 투자자보호를 동시에 고려한 개선방안이 요구됨을 강조하였다. 예를 들어, 코스닥과 같은 혁신 시장에서는 신속한 퇴출이 꼭 정답은 아니라는 점과 반대로 코스피와 같은 보수적 시장에서는 시장건전성 확보 차원에서 엄격한 진입과 신속한 퇴출이 중요하다는 점 등이다. 또한, 코넥스시장의 모험자본시장으로서의 성격을 강화할 필요성이 있고 장외시장(K-OTC)과의 연계를 통해 상장폐지 기업의 투자자보호 및 재진입 기회를 조정하는 보완책을 마련할 필요가 있다는 점을 주장하였다. 본 연구는 선행 연구가 거의 없는 상황에서 한국 증권시장의 지속 가능성과 글로벌 경쟁력 강화를 위해, 시장별 차별화된 상장정책과 유기적인 시장 연계 방안을 모색하는 것이 필수적임을 제안하며, 상장제도의 개선을 위한 정책적 시사점을 제공한다.

영문 초록

This study aims to analyze the public nature of stock exchange listing policies and the necessity of differentiated market structures, proposing a structural reform strategy for the Korean stock market. The listing system is a key policy mechanism that must balance corporate financing and investor protection, with entry and exit criteria significantly influencing market stability and growth potential. This study categorizes the Korean stock market into KOSPI, KOSDAQ, KONEX, and over-the-counter (K-OTC) markets and suggests policy directions to clarify the function and role of each market. In particular, the study classifies market structures into four types—Innovative Market (low entry barrier, easy exit), Murky Market (low entry barrier, difficult exit), Conservative Market (high entry barrier, easy exit), and Stagnant Market (high entry barrier, difficult exit)—and compares these classifications with international stock markets. Based on this analysis, the study highlights the necessity of establishing differentiated listing and delisting standards tailored to each market’s characteristics while ensuring smooth market transitions and investor protection throughout a company’s growth stages. For example, in innovation-driven markets such as KOSDAQ, immediate delisting may not always be the optimal approach, whereas in conservative markets such as KOSPI, maintaining market stability requires stricter entry standards and prompt delisting measures. Additionally, the study emphasizes the need to enhance KONEX’s role as a risk capital market and to introduce complementary measures that coordinate with over-the-counter markets such as K-OTC to protect investors and manage reintegration opportunities for delisted companies. This study underscores the importance of a refined and market-specific approach to listing policies to enhance the sustainability and global competitiveness of the Korean stock market. Furthermore, it provides key policy implications for improving the listing system and fostering an interconnected and efficient market structure.
